Ok so I’ll try and keep this relatively short (definitely ended up being not short, TL:DR at the end). My partner and I have owned and operated a boutique content marketing agency since July of ‘17. At the time my partner also worked with a local publication. Our intent was to build our business such that my partner could leave her retail job and afford more time to the publication. The publication is a franchise owned by a single woman, for whom my partner was employed.
So we get the business off the ground and my partner picked a time she though would be best to let her old boss know of her plans.
Her old boss didn’t take this well, and immediately began acting threatened. Claiming that our business model would infringe on her sales. She then proceeded to fire my partner and withheld her last paycheck (<$500, partner not interested in pursuing it but it’s super shady in my opinion)
My partner and I then confirmed with two separate law firms that what we were doing was not illegal and did not infringe on either of our contracts with our former employers. Basically we had hard backing that my partner’s former boss was blowing smoke.
I typically like to play hard ball and initially wanted to grab the last issue of the publication and pitch every company shown, but my partner proved to have a clearer head on her shoulders and we agreed that we would not approach any of the publication’s former clients for six months.
Six months came and went, and we’ve signed enough business to make approaching the publication’s clients more trouble than it was worth.
Here’s the kicker, my partner’s former boss is now approaching our clients! I saw a message come across one of our client’s social channels trying to get a meeting.
So the industries are totally separate and it doesn’t impact my business one way or another if they also do business with her, and in the off chance they do end up in the publication we’re happy to handle working in proximity amicably. I don’t think that my partner’s previous boss knows that we have signed the client she had approached.
I’m wondering if i should alert my client to her history of shady and half assed behavior, and to what degree we should be concerned/involved. Has anyone dealt with this before? I’m happy to answer any questions for the time being but (fair warning) plan to delete this if it gets too popular or enough time has gone by.
Thanks in advance for any input and I apologize for any typos, typing this out on mobile.
TL:DR - My partner’s former employer, with whom she separated with on poor terms, is now approaching our clients. Do I have any obligations to my client to inform them of the existing relationship?
